Should I be concerned about a 2004 with just under 40,000. Price is about $12,000. Thank You in advance.

Sounds about right, but do a title search: if it is a salvage, run far far away. And before buying it, pay a Toyota technician to thoroughly inspect it.

Specifically, ask the tech. to do a traction battery test. They can get a readout of the module pair health. The battery has 28 modules with 6 cells in each, for a total of 168 cells (201V nominal). This test will tell you if the traction battery is about to be a problem. It's really the only expensive "wear item" that would be expected to fail with such low mileage. Its' "wear" is more dependent on other factors rather than mileage such as number of cycles and operation temperature.
